This notice of GENERAL CONDITIONS AND USE of the website PUBLISUITES.COM regulate access, navigation and use of websites under the domain “PUBLISUITES.COM” (hereinafter, “website”), as well as the responsibilities derived from the use of its contents (hereinafter, “Contents” means texts, graphics, drawings, designs, codes, software, photographs, music, videos, sounds, databases, images, as well as any other creation protected by Spanish laws and international treaties on intellectual and industrial property).

It will be understood that access to or mere use of the website by the user implies the user’s adhesion to the General Conditions and Use that PUBLISUITES S.L has published at each moment in which the user accesses the website and which will be available to users. Consequently, the user must carefully read these General Conditions and Conditions of Use. In this sense, “User” will be understood as the person who accesses, navigates, uses or participates in the services and activities, free or onerous, developed throughout alla the PUBLISUITES.COM website as well as its subdomains.

Independently of the same, PUBLISUITES S.L may establish specific conditions that regulate the use and/or contracting of specific services offered to users through the website.

The purpose of the website is to put in contact between the different agents of the online marketing market, being these “Publishers” and “Advertisers”, facilitating their own actions within the advertising and marketing market through the platform made available to them. The consideration for this authorization is the payment of a price by the “Advertiser”, which is specified in the application of a percentage to the price that the providers of advertising services agree with the client.

For the purposes of these conditions of use, “Advertiser” is understood as any natural or legal person who accesses and registers on the website as such, whose role is to seek satisfaction of their marketing or advertising needs through the recruitment of services offered by third parties or PUBLISUITES S.L. itself.

The “Publishers” play the role of offering their marketing and advertising services, the addressees of which are the “Advertisers”. The method through which they offer this service is, selling post or sponsored articles that they publish in webs or blogs of their property. Also included in this category are other agents operating in this market, the Editors and Influencers.

“Editors” is understood to be those people who use the website to offer themselves to the composition of articles that are subsequently used by the “Advertisers” directly or by the “Editors”.
The last actors are the “Influencers”, who offer their services to the “Advertisers” through the sale of social mentions.

In addition, PUBLISUITES S.L. offers a Managed Service whose characteristics and terms of use will be described in a document with particular conditions.

Before using and/or contracting these specific services provided by PUBLISUITES S.L, the user must carefully read the corresponding Particular Conditions created for this purpose by PUBLISUITES S.L. The use and/or contracting of these specific services implies acceptance of the Particular Conditions that regulate them in the version published by PUBLISUITES S.L at the time of said use and/or contracting.

2. USE OF THE WEBSITE AND REGISTRATION.

Navigation of the PUBLISUITES.COM website is free and essential uses are free. This access may be restricted by the web operator at any time. It is reiterated that it will be understood that access to or mere use of the website by the user implies the user’s adhesion to the General Conditions and Use that PUBLISUITES S.L has published at every moment when accessing the website and which will be available to users.

In order to obtain the condition of “Editor” or “Advertiser”, it will be necessary to register effectively as such on the “website”. Due to organisational reasons, when registering on the website, Publishers, Editors and Influencers must register on the website as PUBLISHERS, in order to subsequently define the service they wish to make available to ADVERTISERS.

Register as an “Advertiser” on the website.

The registration as Advertiser is made free of charge through the registration form that PUBLISUITES may include at any time called “ADVERTISER REGISTRATION”. The advertiser must provide a series of data to the website with the sole purpose of managing your application for registration in the most efficient way. The effective registration of the user in the “Advertiser” section implies acceptance of the General Conditions and the Particular Conditions that are proper and applicable to him/her. The data provided by the advertiser in his/her profile will be reviewed by the PUBLISUITES.COM team for subsequent validation and compliance with quality criteria of the website.

The data provided by the advertiser will be the sole responsibility of the latter, PUBLISUITES.COM is not responsible for the accuracy or ownership of this information provided by the advertiser. Randomly and only to meet quality standards, PUBLISUITES. COM apply protocols to validate and meet the quality criteria of the website provided by the advertiser. PUBLISUITES.COM reserves the right to refuse at any time the user registration as an advertiser or invalidate any media provided by the latter in order to meet quality criteria.

Register as “Editor” on the website.

Registration as an Editor is made free of charge using the registration form that PUBLISUITES.COM may include at any time called “EDITOR REGISTRATION”. The publisher must provide a series of data to the website for the sole purpose of managing your registration application in the most efficient way. The effective registration of the user in the “Editor” section implies acceptance of the General Conditions and the Particular Conditions that are proper and applicable to the user. The data provided by the publisher as well as the social accounts or websites registered in its profile will be reviewed by the team of PUBLISUITES.COM for subsequent validation and compliance with quality criteria of the website. PUBLISUITES.COM reserves the right to reject at any time the registration of users, social profiles or websites.

All those users who must register as Publishers, referring here specifically to the other modalities (Influencers, Editors, etc.) must also complete the registration form which, depending on the service they intend to offer on the platform, may entail verification by the PUBLISUITES team of certain extremes that ensure the quality and veracity of the information required for effective registration. Depending on the role to be acquired, the requirements are as follows:

– Editors: The editor must provide a series of data to the website with the sole purpose of managing your registration application in the most efficient way. In addition, editors are required to complete a small “access test”. The effective registration of the user in the “Editor” section implies the acceptance of the General Conditions and the Particular Conditions that are their own and that are applicable to them.

– Influencer: In addition to providing the basic data required by the form, it is necessary to add the social accounts that are intended to offer as a vehicle for promotion, having to accumulate a minimum of one thousand followers / fans. The effective registration of the user in the “Influencer” section implies the acceptance of the General Conditions and the Particular Conditions that are proper and applicable to the user.

Likewise, with the registration on the website, a purse is made available to all registered users, with which they will make all money transfers that originate from the platform that PUBLISUITES makes available to users.

The individual conditions for each agent are described below.

TERMS OF USE FOR PUBLISHERS

I. ON THE CONDITION OF EDITOR.

As specified in section one of the general conditions, the condition of publisher is acquired at the moment that the user registers on the website as such and is recorded of his entry in the “Register of Publishers”.

Once registered, the Publisher (whether editor, editor or influencer) must check the websites or social accounts included in his editor profile. The data provided by the editor must be verified by the appropriate means and that at all times PUBLISUITES S.L deems appropriate to ensure the quality and safety of its service.

Under no circumstances will PUBLISUITES S.L. be responsible for the veracity of the data provided by the publisher and reserves the right to cancel the publisher’s account in the event that this provides false data or does not verify in due time the ownership of the websites provided as well as social profiles.

II. ON THE NECESSARY QUALITY OF THE WEBSITES OWNED BY THE PUBLISHER.

PUBLISUITES.COM may not accept websites or blogs owned by the publisher when these are considered by the quality team of PUBLISUITES.COM as:

– Link farms”: those pages that have a large number of outgoing links, whether contextual or not, and that could harm our advertisers, either through a penalty in search engines, or with a transfer of LinkJuice far below what would be expected from the service provided by PUBLISUITES.COM.

– Review farms”: we understand those pages that are dedicated to selling reviews in large quantities in order to make your website profitable. PUBLISUITES.COM considers a blog or website to be a review farm when the ratio between sponsored articles and own articles is less than 1 to 10 (1 sponsored article for every 10 own articles).

– Low quality”: those pages that do not meet the requirements of PA/DA, PR, or minimum stylistic quality and optimization for the quality team of PUBLISUITES.COM.

– Websites with duplicate, partially copied, translated or spinned content will not be accepted in the Editor’s profile. Likewise, websites created using the Wix platform or containing advertising that prevents a smooth navigation through the website will not be accepted. This being the most common case, the company reserves the right not to accept any other websites that it understands do not meet the minimum standards to be offered on the platform.

III. ON THE EXECUTION, NATURE, CONDITIONS AND DEADLINES OF THE WORK ENTRUSTED TO IT.

The services offered by the publishers must be 100 % original and exclusive for the work contracted by the advertiser. The translation of texts in the editing of sponsored post is strictly forbidden. Failure to comply with this guideline will result in the immediate closure of the publisher’s account and the withholding of income.

Likewise, the posts must be written by the editor, who assumes full ownership of the text and exempts PUBLISUITES.COM from any liability, as well as the advertiser from the misuse of protected material. Sponsored posts can only contain the links indicated (from 1 to 4 maximum) by the advertiser in the order.

The services provided by the publisher are of a PERMANENT nature and, therefore, posts contracted during the life of the website may not be deleted. If the website is deleted within a period of one year after the service is contracted with the advertiser, the amount paid by the client will be deducted from his purse. In case of sale of the website, the post contracted must be notified to the new owner to maintain them, not being an excuse to buy and sell to delete them.

Publishers have a period of 2 calendar days to accept the work and, for the completion of the work, the time limit is set by the advertiser. After this period PUBLISUITES.COM understands that the publisher has not complied with the obligation and therefore may take appropriate measures to ensure that its service is not interrupted by the malpractice of the publisher, resulting in the cancellation of the work sent. Under no circumstances will works submitted after the deadline described above be accepted. In the case that a post has been contracted within the “press” section, the publication times are coordinated by the Editor according to their publication schedule.

In case the advertiser considers that modifications should be made to the originally submitted work, the publisher will have 4 days to resubmit the work with the relevant changes. If the deadline is not met, the work is not delivered and therefore cancelled.

Once the commissioned work has been carried out and when it has been reviewed and approved by the advertiser, the amount of the service will be incorporated into the publisher’s purse, and the right to collect the agreed amount will be recognized. Approval by the advertiser will be limited to verifying that the mandate has been executed in the terms negotiated.

Article Writing Services

The editor exclusively cedes the rights of exploitation of the intellectual property sold to the advertiser, granting the same the power to exploit the work to the exclusion of third parties, including the assignor himself, and empowers him to grant non-exclusive authorizations to third parties. Likewise, it confers legitimacy, independently of that of the assignor, to prosecute violations that affect the faculties that have been assigned to it.

The editor, as guarantor of the authorship of the works, exonerates both the advertiser and Publisuites from all liability to third parties, and consequently assumes all claims, including compensation for damages, which may be exercised against those mentioned above by third parties who could understand their intellectual property rights or industrial property infringed on the works subject to the assignment.

IV. ON POSSIBLE INCIDENCES RELATED TO THE WORK CARRIED OUT.

The following are the most common incidents recorded between publishers and Advertisers. In any case and even if it is not expressly included, any anomaly must be compulsorily reported to the website in order to organize a solution. Any incident that involves the reimbursement to the advertiser of what has been paid will suppose a correlative decrease for that amount coming from the publisher’s purse.

– Related to the disappearance of the post

In case of sale of the website or low PUBLISUITES.COM, the new owner must be notified not to delete sponsored posts sold on the platform. The social mentions must remain a minimum of 30 days published.
In case of disappearance of the website within one year of hiring the advertiser, the contract with the Publisher will be cancelled and legal action will be taken to recover the subscriber.
In the event of erroneous deletion, the “website” will contact the publisher to restore the link. In the event of a refusal, it will be deducted from the balance in your wallet.

– Change post URL

The editor will be obliged to make a 301 redirection so that the post is available from Publisuites and so that the traffic is crossed, regardless of whether the change of URL is motivated by a change in the domain address or in the post itself.

– Change of link from “follow” to “no follow”

The “website” will contact the publisher to transform the link. In the event of a refusal, it will be deducted from the balance in your wallet.

V. ON THE METHOD OF PAYMENT.

Payments will be made taking into account the appropriate withholding taxes for each type of publisher and its tax regime. PUBLISUITES.COM is not responsible for non-compliance with the tax obligations of its publishers and will consider valid the data provided by the publisher as “TAX DATA”.

In addition to the above, will only proceed to give the order for payment if there is an invoice issued for the service performed. If they are individuals and cannot issue an invoice, they will be issued a receipt for payment.

Payments will be made by PayPal or bank transfer.

Payments through PayPal system: The minimum credit to be able to request payment through PayPal will be 5 €. The publisher assumes the possible commissions that this service may have, not being responsible PUBLISUITES.COM in any case of any incident that might occur by the use of that payment system or the failure of the publisher of the general conditions of PayPal.

Payments by bank transfer (valid only within the European Union): The minimum credit to request payment by bank transfer will be 25 €. The publisher will assume all the commissions that may result from the use of this system of payment to publishers.

Finally, a period of up to 10 working days may elapse between the payment request and the corresponding verifications and final payment by Publisuites.

VI. ON CONFIDENTIALITY.

Finally, the publisher is bound to the strictest confidentiality on accepted, rejected or cancelled orders. In cases where the publisher does not comply with this obligation, Publisuites reserves the right to cancel the account and take legal action to safeguard its interests and those of its clients.

VII. ON UNFAIR PRACTICES.

Under no circumstances may the publisher offer its services directly to the advertiser using bridging or any other technique. In the event of such a situation PUBLISUITES S.L reserves the right to take appropriate legal action to safeguard their interests.

VIII. DISCLAIMER OF LIABILITY

Subjects such as gambling, betting, marijuana, sex, drugs, dating, tarot, esotericism and any other matter of which we understand delicate and therefore should be treated with special dilation. PUBLISUITES S.L. is configured as an intermediary platform and although we work and put all our efforts to ensure that both “advertisers” and “publishers” comply with the legislation and quality standards we are not responsible for the use that they can give to the platform, no strict monitoring of orders is made as it is not the purpose of this platform.

TERMS OF USE FOR ADVERTISERS

I. ON THE STATUS OF ADVERTISER.

In order to obtain the condition of ADVERTISER within the PUBLISUITES.COM system, only effective registration on the . PUBLISUITES.COM reserves the right to access its section of advertisers after verification of the data provided by it.

Once verified the account of the advertiser, the advertiser will be able to begin to use the platform. Until then, the advertiser will be a user. This payment will be made in an exclusive purse for each client of the website associated with his account, with which all payments will be made within the business traffic that is carried out on the platform.

II. ON THE TERMS OF PAYMENT AND MANAGEMENT OF THE BALANCE IN THE PURSE

The reloads in the purse can be carried out through the means specified in the advertisers’ panel, being assumed by the advertiser as many commissions as might result from the means used for it.

Once the payment has been made into the purse, it will be recorded in the advertiser’s account. The balance of the wallet will not be, under any circumstances, refundable and can only be used for the services offered at any time by PUBLISUITES.COM.

PUBLISUITES.COM is not responsible for errors of entry into the purse communicated after 24 hours from the actual entry. Otherwise the money will not be reimbursed and will appear as a balance for use within the platform.

In any case, the management costs or commissions that may exist for the error of entry of the advertiser will be borne by your account and may be deducted by PUBLISUITES.COM from the final amount to be reimbursed.

All expenses made on the platform are subject to the appropriate taxes that will be assumed by the advertiser through his balance in the purse at all times. If the balance of the wallet is not sufficient to pay for the entire service plus the appropriate taxes, no services can be contracted.

III. ON THE RIGHTS AND GUARANTEES WITH RESPECT TO THE CONTRACTED WORK.

– Advertisers have the right to free choice of publishers for the realization of sponsored posts as well as social actions. Through our system the advertiser will be able to filter the publishers that best suit their needs.

– The advertiser has the right to supervise the contracted work and to communicate to the publisher, within 7 days, all the modifications he deems appropriate before approving the sponsored post or social action. In this way, the editor will be able to send the modified version of his work for new revision within 4 days. Once 7 days have passed since the last version delivered by the editor, the work approved will NOT be possible to carry out modifications, understanding that it accepts the work, proceeding to the payment of the same one.

– If the publisher deletes the sponsored post and the website remains active, we will refund the balance to your advertiser’s account if the eventuality occurs during the first six months since the post was contracted.

– Type of links from press media or blogs:

Within the Publisuites.com platform, advertisers may select the type of link they wish (“follow” or “no follow”) according to the needs they may have at any time when placing the order.

This distinction cannot be changed once the publisher has placed the order and the advertiser has validated the order delivered.

In the event that a medium or blog is penalised in its positioning in a way that can be demonstrated by Google, the type of link may be changed without prior notice to the advertiser, going from “follow” to “no follow”, according to the needs and guidelines that Google may propose at any time. In no case, Publisuites will be responsible for such changes.

– If a social mention is removed within 30 days of publication and is active, the balance will be refunded to the wallet of the advertiser.

– If the website or social account has been permanently deleted during the first six months from the hiring of the sponsored post or social mention, the money will be refunded in the wallet.

– The editor exclusively cedes the rights of exploitation of the intellectual property sold to the advertiser, granting the same the power to exploit the work to the exclusion of third parties, including the assignor himself, and empowers him to grant non-exclusive authorizations to third parties. IV. OTHER WARNINGS.

PUBLISUITES.COM is not responsible in any case for the opinions or comments that may arise from the services contracted in the blogs, websites or social accounts of the editors, the latter being solely responsible.

V. MANAGEMENT OF CAMPAIGNS THROUGH MANAGED SERVICE.

As stated above, Publisuites offers a service to its clients in which it directly manages advertising campaigns.

Through this service, Publisuites receives directly from the client the briefing necessary to adjust the strategy to follow (themes, types of content, types of link, budget, deadline, etc.) and, with this feedback is responsible for making all the management with the editors, processing the process, deadlines and ensuring publication.

At the end of the first meeting, a budget is made from the briefing that is charged to the acceptance by paypal or transfer.

The advantages of this modality are a significant reduction in execution times and benefit from the discounts that Publisuites agrees with the service providers, in addition to access to some content not visible to other customers.

VI. ON UNFAIR PRACTICES.

En ningún caso el Anunciante podrá negociar con Editores la contratación de sus servicios directamente utilizando técnicas de puenteo o de cualquier otra naturaleza. En caso de producirse dicha situación PUBLISUITES S.L se reserva el derecho de iniciar las acciones legales oportunas para salvaguardar sus intereses.

VII. DISCLAIMER OF LIABILITY

FINAL LEGAL WARNING.

These General Conditions and Conditions of Use are granted under Spanish law. Any controversy on the same ones will be solved according to her and under the Spanish jurisdiction. The courts of the city of Madrid shall be competent to hear these General Conditions and Conditions of Use, the parties renouncing any other jurisdiction.
